TERMS AND CONDITIONS

Effective Date: 2026

Scope of Services

First Line Decision Labs (“FLDL”) provides structured decision support and leadership advisory designed to help clients evaluate complex decisions, leadership challenges, strategic risks, competing priorities, and potential outcomes.

Services may include Decision Snapshot Reviews, Strategic Decision Reviews, exposure mapping, scenario analysis, structured decision support, and leadership advisory support.

Scope Boundaries

Leadership advisory support is strategic and decision-support focused. FLDL does not provide legal, financial, tax, medical, psychological, human resources, employment, or other licensed professional advice.

Clients remain responsible for consulting qualified licensed professionals when legal, financial, tax, medical, or other specialized professional advice is required. FLDL analysis should be considered a decision-support perspective only, and not a substitute for professional services requiring licensure. FLDL does not participate in the execution of operational decisions and assumes no responsibility for implementing client decisions.

Autonomy in Judgment and Accountability for Decisions

To facilitate informed choices, FLDL offers advisory viewpoints and organized decision support. Every insight, conclusion, and suggestion delivered by FLDL is strictly advisory.

Clients retain full responsibility for evaluating the information provided and exercising their own independent judgment when making decisions. FLDL does not control, direct, or participate in the execution of client decisions and assumes no responsibility for actions taken by the client based on the advisory analysis provided.

Advisory Nature of Services

All services provided by FLDL are advisory in nature. Deliverables are intended to provide structured perspectives and decision-support insights based on client-provided information. Final decisions, actions, and outcomes remain the sole responsibility of the client.

Use of Analytical Tools

First Line Decision Labs may utilize analytical tools, including artificial intelligence-assisted modeling systems, to support internal research and scenario analysis. All final advisory conclusions provided to clients are reviewed and issued by FLDL.

Client Responsibility

Clients are responsible for providing accurate, truthful, and complete information during the intake and engagement process. FLDL is not responsible for conclusions or analyses impacted by incomplete or inaccurate information supplied by the client.

Scope Expansion and Additional Work

The services provided by FLDL are limited to the specific scope defined in the signed engagement agreement.

Requests for additional analysis, expanded review, follow-up advisory work, or evaluation of new information beyond the originally defined engagement may require a new agreement and additional fees.

FLDL reserves the right to determine whether a request falls within the original scope of the engagement or constitutes additional advisory work requiring a separate engagement.

Reliance on Client Information

FLDL analysis and advisory conclusions rely on the information provided by the client.
FLDL does not independently verify the accuracy of client-provided information and assumes such information to be accurate and complete.

Payment Terms

All services require full payment before the commencement of work unless otherwise agreed in writing. Work will not begin until payment is received and the engagement agreement is executed.

Refund Policy
Due to the analytical and time-based nature of advisory services, payments are generally non-refundable once work has commenced.

If FLDL determines that a material error occurred in the delivery of services, FLDL may, at its sole discretion, offer a corrective revision or service credit.

Engagement Timeline

Typical review timelines are estimates only and may vary depending on the complexity of the engagement, the completeness of client-provided information, and FLDL’s active workload.

Confidentiality and Third-Party Service Providers

First Line Decision Labs treats client information as confidential and does not sell, rent, or disclose personal information to unrelated third parties for marketing purposes.

To operate our business and deliver our services, FLDL may use trusted third-party service providers, including providers for website hosting, document management, electronic signatures, payment processing, messaging, and business automation. These providers receive only the information reasonably necessary to perform services on FLDL's behalf and are used solely to facilitate the delivery and administration of our services.

Limitation of Liability

To the fullest extent permitted by law, FLDL shall not be liable for any direct, indirect, incidental, consequential, or business losses arising from the use of its services or deliverables. The client acknowledges that decision-making outcomes are inherently uncertain and influenced by factors beyond FLDL’s control.

Intellectual Property

All analytical frameworks, methodologies, models, templates, and proprietary processes used by FLDL remain the exclusive intellectual property of First Line Decision Labs. Clients receive a limited license to use the final deliverable for their own decision-making purposes but may not reproduce, distribute, or commercialize FLDL methodologies.

Permitted Use of Deliverables

Clients may use the final advisory report for personal or organizational decision-making. Deliverables may not be resold, redistributed, or used to create derivative consulting products without written consent from FLDL.

Right to Decline or Terminate Engagement
FLDL reserves the right to decline or terminate an engagement if the request falls outside the firm’s scope, presents ethical concerns, or involves matters that require licensed professional advice.

No Ongoing Advisory Obligation

Unless otherwise agreed in writing, FLDL’s responsibility ends upon delivery of the final advisory report.

FLDL has no obligation to monitor developments, provide updates, or revise analysis after the close of an engagement.

No Guarantee of Outcomes

FLDL does not guarantee any specific outcome, result, or success from the use of its services or recommendations.

Governing Law

Modifications
